### Vantiv and Worldpay Merge to Form Worldpay, Inc.

Earlier this year Vantiv and Worldpay joined forces to become a global leader of integrated omni-commerce payments. As they progress through the beginning of next year, you will see the Vantiv name, logo and references transition to Worldpay.

Vantiv agreed to acquire Worldpay (NYSE: WP) for $10.4 billion using cash and stock for Worldpay shares. The combined company is valued at $28.8 billion and creates the world's largest payment processor, handling a combined $1.5 trillion worth of transactions a year.

Cincinnati, Ohio will become the company's global and corporate headquarters and London, U.K. will become its international headquarters.
